The UMIX POINTS PROGRAM ("Program") is operated by UMIX.net ("UMIX.net") a subsidiary of Oxfordcorp Inc. ("Us", "our", or "we"). When you enroll in the Program as a collector of UMIX points, you are eligible to collect UMIX points making purchases from participating merchants ("partners") and other activities, and to redeem the UMIX points in your account for travel, merchandise, gift certificates, airline points and other rewards ("Rewards") provided by participating Partners.

Conditions of Membership

UMIX.net reserves the right to terminate the membership of individuals who violate the following conditions of membership:

• An individual may only apply for one membership.
• Each email address can only belong to one member.
• The member must inform UMIX.net of any change in the member's personal details, including email address and street address. This can be done through the My Account page on the UMIX.net Web site.
• Any other reason deemed inappropriate in the reasonable opinion of UMIX.net.
  

UMIX.net also reserves the right to terminate the membership of any individual without cause or reason.

Members shall comply with all rules, laws, and regulations that are applicable. Members acknowledge that they may only participate in the Program if and to the extent that such participation is permitted by such laws, rules, and regulations. UMIX.net may refuse at any time to enroll a member, or to restrict, modify, or terminate a member's participation in the Program without liability to the member or any other party, if a member violates any law, rule, or regulation, or if a Member's participation in the Program violates any law, rule, or regulation.
 
Members agree not to misuse UMIX.net Program privileges by conduct which is detrimental to UMIX.net, including without limitation attempting to accrue UMIX points or spend UMIX points in a manner inconsistent with the policies of UMIX.net or the intent of this Agreement, having multiple accounts, making purchases on the behalf of other Members, participating in purchasing or redemption fraud, using any robot, spider, other automatic device or manual process to transact with or monitor the Program.

Members agree to provide only accurate and true information to UMIX.net at all times.

Members agree to comply with all terms and conditions herein and in of, partner offers, and promotions at all times.

Collection of UMIX Points

Referrals

Points will be awarded where the member refers a new member. Where a false referral is discovered, UMIX.net reserves the right to cancel the existing members account or debit the appropriate points from their account.  UMIX.net reserves the right to modify or suspend the issuance of referral points at any time and at its sole discretion.

Member agrees to accept personalized information, offers and invitations to answer surveys from UMIX.net or its third-party clients ("Clients") or its third-party sponsors ("Sponsors") via electronic mail and the Internet.  Members may, on occasion, earn UMIX points when  responding to an invitation to participate in a market research study.

• The amount of UMIX points that can be earned will be stipulated in each invitation.
• Member acknowledges that he/she may not be eligible to receive invitations to certain surveys. If Member is sent or receives an invitation in error, UMIX.net reserves the right to debit the Member’s account for the UMIX points erroneously credited.

Other Earning Opportunities

On occasion, UMIX.net, Clients and Sponsors may allow Members to earn additional UMIX points via other earning opportunities.

• The amount of UMIX points offered for other earning opportunities will be stipulated in each other earning opportunity announcement.
• Member must comply with the terms of each other earning opportunity to earn any such additional UMIX points.
• Member acknowledges that he/she may not be eligible to receive certain earning opportunities. If Member is sent or receives an earning opportunity in error, UMIX.net reserves the right to debit the Member's account for the UMIX points erroneously credited.

Member's participation in UMIX.net, Client and Sponsor surveys is solely at Member’s discretion. UMIX.net will not be in any way responsible for personally identifiable information that Member may voluntarily share with Client or Sponsor in the course of answering a survey or participating in another earning opportunity.

Member is responsible for complying with any rules or terms set forth by Client or Sponsor.

• Fulfillment and timeliness of delivery of Partner or Sponsor goods or services.
• Security associated with credit card or other transactions directly initiated by Member with Partner or Sponsor.
• Maintenance or privacy of any personal information given by Member directly to Partner or Sponsor.

Except where required by law or provided for in the program rules, UMIX points have no cash value. In certain jurisdictions, where required by law, 750 UMIX points would be deemed to have a cash value not exceeding one twentieth of one cent.

Reward Partners

The offers are provided by suppliers. The member acknowledges that UMIX.net acts as a referral agent only and is not responsible for the quality of goods and/or service purchased by the member. Any complaints or enquiries must be directed though the Verification System within one (1) week of the incident arising. Any false claims may lead to termination of your membership Reward points will not be issued to a member in relation to a cancelled or unpaid order of goods or services from the supplier.

UMIX.net is not responsible for rewards to the member when failure of any system such as a cookie-based referral tracking system results in UMIX.net not being paid by the supplier for the referral of that member.

UMIX points may never be sold, exchanged, bartered, transferred or given without the written consent of UMIX.net.

UMIX points are not sold to Merchants, or any other persons.  The only right a Member acquires in UMIX points is to surrender them for redemption. In case of any other transfer, UMIX.net reserves the right to invalidate them and/or to reject or restrain their use by, and/or to take them from, the transferee.

Accounts with no activity for 12 consecutive months after enrollment will be deleted. A new UMIX.net account can be obtained by visiting www.umix.net.

Points expire after 12 consecutive months with no activity. Points will not expire as long as you participate in at least one of the following activities at least once every year:

• Purchase made through the UMIX.net affiliate network
• New UMIX member referral
• Completion of online survey for points
• Click-through to an advertisement for points on UMIX.net
• Answer the Vibe Check
  

Advertising

By joining the UMIX.net website, the member consents to UMIX.net sending to the member commercial advertising material via email. The member will receive no more than four (4) advertising emails (excluding Newsletters) per week.

The UMIX.net website and the advertising emails sent by UMIX.net contain third party advertisements which may contain embedded hyperlinks to Web sites operated by third parties or their licensees or contractors. All third-party advertising is paid for by the relevant third party advertisers and is not a recommendation or endorsement by UMIX.net or its Affiliates or their respective directors or employees. The member is referred to the relevant advertiser for all information regarding the advertiser and its products and/or services. In some instances, the advertisement will contain representations or offers by the third party advertiser which the member can accept by linking to the advertiser's web site and executing the relevant transaction. The member acknowledges that such offers are not made by UMIX.net, and the third party advertiser is solely responsible to the member for the delivery of any goods or services purchased from the third party.

Limitation of Liability

Neither we, our affiliates nor any of our or their respective officers or directors have any responsibility or liability for any expense, loss, cost, injury, damage, delay, travel cancellation, accident or any other matter or thing whatsoever (collectively, "Costs"), however suffered or caused (including compensatory, incidental, indirect, special, punitive, consequential or exemplary damages or damages for loss of income or profits), directly or indirectly arising out of or related to (i) the Program or your participation in the Program; (ii) any failure, delay or decision by us in administering the Program or amending these Terms and Conditions or the basis on which you can redeem UMIX points; (iii) any offer, representation, statement or claim about the Program, any Partner or Supplier or their products or services, made by a Partner, Supplier or any other person; or (iv) the purchase, redemption for or use of any goods or services of Partners or Suppliers, including any Awards, whether made available by us, any of our affiliates, Partners, Suppliers or otherwise. This applies even if we or our representatives are advised of the possibility of such Costs. Partners are not responsible for the Program.

UMIX.NET AND ITS PARTNERS PROVIDES ITS WEBSITE AND SERVICES "AS-IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY.

Furthermore, the member acknowledges that it has not relied upon or been induced by any representation by UMIX.net and UMIX.net makes no warranty or representation as to:

• The results that may be obtained through membership of the service;
• The accuracy, reliability or otherwise of any information obtained through membership of the service;
• The financial or other rewards which may be obtained through membership of the service;
• The service or website being uninterrupted, timely or error free;
• The goods and/or services purchased or obtained through the service or website, including goods and or services offered by third party advertisers, except where expressly indicated.

Upon termination of membership, the member will forfeit their points balance and all outstanding rewards.

These Terms and Conditions constitute the entire agreement between you and us regarding your participation in the Program, your entitlement to collect and redeem UMIX points and your entitlement to any other benefits of the Program, and supersede all previous versions. Except as expressly contained in these Terms and Conditions, there are no conditions, representations, warranties, express or implied, statutory or otherwise. When you deal with us over the Internet, you consent to the formation of contractual relations through electronic communications. We are the final authority as to the interpretation of these Terms and Conditions and as to any other questions or disputes regarding the Program or any Award.

Indemnification

The member indemnifies and keeps indemnified UMIX.net and its officers, employees, agents, subsidiaries and affiliates against all claims (including third party claims), demands, damages, costs (including legal costs), penalties or suits arising out of or consequential upon the members use of the website or points program.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the state of Georgia. The member submits to the jurisdiction of the courts of the state of Georgia.

These Terms of Service should be read in conjunction with the UMIX.net Privacy Policy.
